If you registered a company in Kenya years ago and haven't touched the filing since, there's a real 2026 problem you may not know about: the Beneficial Ownership register. Under Section 93A of the Companies Act, 2015, every company must file and maintain a register of its beneficial owners with the Business Registration Service (BRS). BRS gave companies until November 30, 2025 to comply, followed by a further 30-day grace window for companies that hadn't updated their status to confirm they were still active. In early 2026, BRS moved from warnings to action — freezing corporate bank accounts and issuing 'Notice of Intention to Strike Off' letters to companies that never filed.
This is the single most common registration problem we're seeing right now, and it hits businesses that assumed 'the company is registered, so we're fine' — beneficial ownership is a separate, ongoing filing obligation, not a one-time step from incorporation day. Check your status on the BRS Version II portal via eCitizen; if it shows an outstanding beneficial ownership filing, that's worth resolving before it escalates to a frozen account or a strike-off notice.
For businesses starting fresh, the classic mistakes are all preventable. On name search: submitting only one proposed name (if it's rejected, you're back to square one and paying again), or picking a name too similar to an existing registered entity, a trademark, or a political figure — all near-automatic rejections. Submit three to five distinct options up front instead of one.
The second trap is treating the Certificate of Incorporation as the finish line. Getting it typically takes 3–7 business days, but it doesn't let you trade yet. You still need a separate Corporate KRA PIN, eTIMS onboarding (without it, corporate clients can't claim your invoices as an expense and many simply won't buy from you), a County Single Business Permit, and NSSF/SHIF enrollment as an employer if you have staff.
The third trap is DIY filing errors on the BRS V2 portal itself — a mismatched signature, an incomplete Beneficial Ownership form (BOF1), or a missing field — which bounces the whole application back into a queue rather than approving it. We handle company registration, KRA PIN and eTIMS onboarding, and beneficial ownership filing end-to-end, including checking whether an existing company is at risk of strike-off before BRS gets to it first.
